Terms of Service

1. The agreement

These terms are a contract between you and Chapter Room LLC, a Wisconsin limited liability company ("Chapter Room", "we", "us"). They cover the Chapter Room app for iOS and Android, the website at joinchapterroom.com, and everything we provide through them (together, the "Service").

By creating an account, joining a chapter, or using the Service, you agree to these terms and to our Privacy Policy, which is part of this agreement. If you do not agree, do not use the Service.

2. Who can use Chapter Room

To use the Service you must:

• be at least 18 years old, or the age of majority where you live, whichever is higher
• be a current member, new member, alumnus or alumna, or adviser of a chapter that uses Chapter Room, and hold an invite code issued by that chapter
• not have been previously removed from the Service by us

One person, one account. You may not create an account for someone else or let someone else use yours.

3. Chapters and officers

A chapter on Chapter Room is created and run by its officers. If you create a chapter or accept an officer role, you represent that you have the authority to act for the chapter, and you agree to the following on the chapter's behalf:

• Roster. The chapter is responsible for who is on its roster, what role each person holds, and what each role can do. Keep invite codes within the roster.
• Member information. Officers may use attendance results, excuse requests, dues records, suspension records and screenshot logs only to run the chapter. Officers may not use them to harass, intimidate, retaliate against or embarrass anyone, and may not share them outside the people the chapter's roles allow.
• Chapter policies. Attendance requirements, dues, vouchers, excuses and discipline are the chapter's decisions, made under the chapter's own rules and its national organization's rules. Chapter Room provides the tools. We do not set, review or enforce those policies.
• Security settings. The chapter decides the security level of its chats, feeds and albums, including chats shared with other chapters, and who its security officers are.
• Cross-chapter chats. Officers may invite other chapters at the same school into a chat and accept or decline invitations from them. Each chapter chooses which of its own members take part. Messages show the sender's name and chapter. A chapter that leaves a chat takes its members with it. The chapter is responsible for telling its members how it uses those settings.

If an officer leaves or is removed, the chapter is responsible for updating roles. Chapter Room may act on instructions from any officer whose role permits the action.

4. Your account

You are responsible for your account and for everything done with it. Keep your password private, do not share invite codes with anyone who is not on the roster, and tell us at support@joinchapterroom.com right away if you think your account has been used without your permission.

5. Acceptable use

Chapter Room is a place for a chapter to run itself. You may not use the Service to:

• harass, threaten, bully, intimidate or defame anyone
• post content that is hateful, sexually explicit, or that depicts or exploits minors in any way
• plan, coordinate or cover up hazing, violence, or any other illegal activity
• impersonate another person or misrepresent your role in a chapter
• publish someone's private information without their permission
• send spam, scams, or unsolicited commercial messages
• upload malware or anything designed to interfere with the Service
• fake, spoof or mock your location, or help someone else do so
• circumvent or disable screenshot detection, chat security settings, or any other safety or security feature
• scrape, copy or export member information except through features we provide
• reverse engineer the app or access the Service by any means other than the app and website we provide
• use the Service for any purpose other than running and taking part in your chapter

Reporting and blocking. You can report any message, post, photo or member from inside the app, and you can block a member so their content does not reach you. We review reports and act on those that violate these terms within 24 hours, which can include removing the content and suspending or removing the account responsible.

We may remove any content and suspend or terminate any account that violates these terms, without notice where the violation is serious.

6. Attendance and location

When you tap Check in, you consent to the app reading your device's location one time and comparing it to the event location your chapter set. How that works, and what is and is not stored, is described in the Privacy Policy. Faking your location or checking in for someone else is a violation of these terms and, likely, of your chapter's rules.

Your chapter decides which events require attendance, when check-in opens and closes, and whether an excuse is accepted. Chapter Room records the result and does not adjudicate disputes about attendance. Take those up with your officers.

7. Screenshot detection

Every chat, feed and album has a security level set by the chapter: Low, Medium or High. By joining or staying in a chat, feed or album set to Medium or High, you acknowledge and agree that:

• every message you view is stamped with your name
• the app detects screenshots and screen recordings taken there
• when a capture happens, a notice is posted in the chat for everyone in it to see
• a record of who captured it, which chat, when, and an image of what was on the screen is saved to a log that the chapter's designated security officers can open
• at High, screen recording is blocked, the screen blurs on an attempt, and images cannot be saved to your device

The app tells you when a chat is secured. If you do not want screenshots detected, do not take screenshots in secured chats, or leave the chat.

8. Payments

Stripe. Payments in Chapter Room are processed by Stripe. Chapters that collect money create a Stripe connected account and must accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Stripe's terms govern the chapter's relationship with Stripe. Members who pay agree to Stripe's handling of their payment information as described in Stripe's Privacy Policy.

Paying dues and vouchers. The app shows you the amount before you pay. By confirming, you authorize the charge to your payment method. Dues, vouchers, tickets and other items are sold by your chapter, not by Chapter Room. The money goes to the chapter's own account.

Refunds and disputes. Because the chapter is the seller, refunds are between you and the chapter and follow the chapter's rules. We will help by providing records. If you dispute a charge with your bank instead of working it out with your chapter, we may suspend your account until it is resolved.

Fees. Chapter Room may charge a platform fee on payments, shown to the chapter before it enables payments. [Fee, if any, to be stated here.] Stripe's processing fees are set by Stripe.

Taxes. The chapter is responsible for any taxes on what it collects and for its own financial reporting.

Not a bank. Chapter Room is not a bank, money transmitter or payment processor. We do not hold your funds. Stripe does.

9. Your content

You own what you post. By posting it, you give Chapter Room a non-exclusive, royalty-free, worldwide license to host, store, copy, display and transmit it as needed to run the Service, and to your chapter's members according to the roles the chapter sets. That license ends when you delete the content or your account, except that:

• messages you sent in group chats stay visible to the other members, attributed to a deleted account
• attendance, dues, suspension and screenshot records that belong to the chapter stay under the chapter's control, as described in the Privacy Policy
• copies may persist in backups for a limited time

You are responsible for your content. Post only what you have the right to post. If you upload a photo or video of someone else, make sure they are fine with it being shared with the chapter.

10. Suspension, removal and deletion

By your chapter. Officers can suspend a member, which freezes their posting while keeping their spot and history on file, and can lift a suspension. Officers can also remove a member from the roster. Those are chapter decisions.

By us. We may suspend or terminate your access to the Service if you violate these terms, if the law requires it, or if continuing to serve you would create risk for us or other users. Where reasonable, we will tell you why.

By you. You can delete your account at any time from inside the app under Settings. What happens to your information afterward is described in the Privacy Policy.

Sections 8, 9, 11, 13 and 14 survive termination.

11. Intellectual property and feedback

The Service, including the app, the website, our logos and the design, belongs to Chapter Room and is protected by intellectual property law. We give you a limited, revocable, non-transferable license to use the app on devices you own or control, for your personal, non-commercial participation in your chapter. You may not copy, modify, distribute, sell or lease any part of the Service.

If you send us feedback or suggestions, we can use them without owing you anything.

12. App store terms

If you downloaded the app from Apple's App Store: these terms are between you and Chapter Room, not Apple. Apple is not responsible for the app or its content and has no obligation to provide maintenance or support. If the app fails to conform to a warranty, you may notify Apple and Apple will refund the purchase price, if any; Apple has no other warranty obligation. Chapter Room, not Apple, is responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, and intellectual property claims. You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

If you downloaded the app from Google Play, Google's terms also apply to the download, and Google is not responsible for the app or these terms.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, and we do not promise that the Service will be uninterrupted, error-free or secure. Attendance verification, location checks and screenshot detection depend on your device and its operating system and can be wrong or incomplete.

To the fullest extent the law allows, Chapter Room and its members, managers, employees and contractors will not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of data, goodwill or opportunity, arising from the Service or these terms. Our total liability for any claim relating to the Service will not exceed the greater of $100 or the amounts you paid Chapter Room in the 12 months before the claim. Some states do not allow these limitations, so they may not apply to you in full.

You agree to indemnify Chapter Room against claims, damages and costs, including reasonable attorneys' fees, arising from your content, your violation of these terms, or your violation of anyone's rights. If you are acting as an officer, this includes claims arising from the chapter's use of the Service.

14. Governing law and disputes

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of laws rules. Before filing a claim, you agree to email us at support@joinchapterroom.com with a description of the problem and give us 30 days to try to resolve it. Any dispute that is not resolved will be brought only in the state or federal courts located in Dane County, Wisconsin, and you consent to the jurisdiction of those courts. You may bring a claim in small claims court where you live if it qualifies.

15. Changes to these terms

We may update these terms. We will post the new version here with a new "Last updated" date, and if a change is material we will tell you in the app before it takes effect. Continuing to use the Service after that means you accept the new terms.

16. Copyright notices

If you believe content on the Service infringes your copyright, send a notice to support@joinchapterroom.com with the subject line "Copyright notice", including the work you believe is infringed, where the content is located, your contact information, and a statement that you believe in good faith the use is not authorized. We will respond in accordance with the Digital Millennium Copyright Act.

17. Website and waitlist

The website and its waitlist are part of the Service. Joining the waitlist does not create an account or guarantee access. You can unsubscribe from waitlist emails at any time using the link in any message.

18. Everything else

These terms and the Privacy Policy are the whole agreement between you and Chapter Room about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these terms; we may transfer them to a successor. Notices to you may be given in the app or by email to the address on your account.
